By providing your mobile phone number to Wovvo Inc. (“Wovvo,” “we,” “us,” or “our”) through our website, platform, applications, checkout pages, onboarding forms, registration forms, event pages, or any related communication channel, you expressly consent to receive automated and non-automated SMS text messages from Wovvo in compliance with applicable laws and carrier requirements, including but not limited to:

  • The Telephone Consumer Protection Act (TCPA)

  • Canadian Anti-Spam Legislation (CASL)

  • A2P 10DLC messaging requirements

  • Applicable wireless carrier regulations and industry guidelines

1. Consent to Receive SMS Messages

By submitting your mobile number, you expressly consent to receive recurring SMS communications from Wovvo related to:

  • Account notifications

  • Appointment confirmations and reminders

  • Creator onboarding updates

  • Platform notifications

  • Customer support communications

  • Program updates

  • Promotional offers

  • Product announcements

  • Event reminders

  • Marketing campaigns

  • Educational content

  • Service-related communications

  • Follow-up messages

  • Business and creator opportunities

Messages may be sent using:

  • Automated dialing systems

  • Registered 10DLC numbers

  • Toll-free messaging numbers

  • Manual messaging systems

Consent to receive SMS messages is not a condition of purchase.

2. Message Frequency

Message frequency may vary depending on your interaction with Wovvo, your account activity, active services, campaigns, support requests, event participation, and communication preferences.

3. Message & Data Rates

Standard message and data rates may apply depending on your wireless carrier and mobile plan. Wovvo is not responsible for any fees charged by your mobile carrier.

4. Opt-Out Instructions

You may opt out of SMS communications at any time by replying:

6. Privacy & Data Usage

Your mobile number and related communication information will never be sold or shared with third parties for their independent marketing purposes.

Your information may be used by Wovvo solely for:

  • communication purposes,

  • operational services,

  • platform functionality,

  • customer support,

  • creator opportunities,

  • marketing communications,

  • and related business activities in accordance with our Privacy Policy.

By providing your phone number and opting into communications, you acknowledge and agree to Wovvo’s Privacy Policy and Terms & Conditions.

7. Sender Identification

All SMS messages sent by Wovvo will clearly identify Wovvo as the sender and will originate from approved and registered messaging infrastructure compliant with applicable carrier and regulatory requirements, including registered 10DLC numbers where applicable.

8. Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

9. Compliance & Abuse Prevention

Wovvo reserves the right to suspend or terminate messaging access for any user who:

  • abuses the messaging system,

  • engages in unlawful activity,

  • submits false information,

  • attempts to interfere with platform communications,

  • or violates these Terms.

Wovvo maintains internal communication logs and consent records for compliance verification, dispute resolution, fraud prevention, and regulatory purposes.

You should place this:

  • near the beginning of the Terms page

  • ideally after Definitions or Section 1

  • before pricing/refunds/program terms

This is already strong enough for:

  • Twilio

  • carrier audits

This Terms and Conditions of Use Agreement (“Agreement” or “Terms”) is entered into between you, the user (“you,” “User,” “Member,” “Student,” or “Contributor”), and Wovvo Inc., a corporation organized under the laws of the Province of British Columbia, Canada (“Wovvo,” “we,” “our,” or “us”).

This Agreement governs your access to and use of:

- the Wovvo software platform accessible at wovvo.ai and app.wovvo.ai (the “Platform”), and

- Wovvo’s digital products and education, including Twitter Course University and any future courses, templates, audits, communities, resources, coaching calls, or training materials (collectively, the “Courses” or “Education Services”).
By accessing, using, registering for, or purchasing any product or service through Wovvo, you agree to be bound by these Terms. If you do not agree, you must not use or access the Platform or Courses.

2. Definitions

“Platform” means the Wovvo web application and related interfaces, tools, filters, dashboards, job feed views, saved/favorited tools, and related features provided via wovvo.ai and app.wovvo.ai.
“Opportunities” means publicly available UGC-related listings, posts, or opportunities sourced from third-party websites, services, communities, networks, or platforms.
“Third-Party Platforms” means external sites or services where Opportunities are hosted and where any application, outreach, or transaction occurs.
“Member” means a user who has purchased or otherwise received access to the Platform.
“Courses / Education Services” means any educational product offered by Wovvo Inc., including Twitter Course University and future course offerings, whether delivered via video, written material, calls, templates, community access, audits, or downloads.
“Course Content” means all lessons, videos, recordings, templates, frameworks, written materials, downloadable assets, community posts, call recordings, and any other educational materials provided by Wovvo.
“Inbound” (or “Inbound Opportunity”) means an unsolicited direct inquiry from a brand (or their representative) expressing interest in discussing a potential UGC collaboration (paid or unpaid).
“Force Majeure” means events beyond reasonable control including widespread internet outages, infrastructure failures, governmental restrictions, cyber incidents, war, terrorism, natural disasters, labor disputes, or major third-party provider failures.

3. Platform Overview

Wovvo is a digital platform that aggregates and curates links to publicly available UGC-related Opportunities hosted on external Third-Party Platforms. The Platform provides a streamlined dashboard interface designed to help Members discover and review Opportunities more efficiently.
Wovvo:
- does not host, own, or operate the Opportunities it links to,
- is not a hiring agency, job board, employer, recruiter, or employment broker, and
- does not submit applications on your behalf.
All applications, outreach, communications, negotiations, and transactions occur on Third-Party Platforms and are solely between you and the third party. Your use of any Opportunity is at your own risk.

4. Course / Education Services Overview

Wovvo may offer Courses and educational products (including Twitter Course University) intended to provide training, frameworks, strategy, and educational resources for creators.
Wovvo is not responsible for:
- whether you land brand deals, income, work, or engagement, or
- whether any brand chooses to contact you, negotiate, or proceed.
Educational materials are informational and educational only. Results depend on many factors outside Wovvo’s control.

5. Membership, Access, and License Grant

5.1 Access Rights
Upon successful purchase (or other authorized access), you receive a limited, non-exclusive, non-transferable, revocable license to access the Platform and/or Course Content for personal use only.

5.2 Prohibited Conduct
You may not (and may not attempt to):
- share, resell, sublicense, gift, or redistribute your access
- copy, replicate, extract, scrape, index, mirror, reverse-engineer, decompile, or frame any portion of the Platform or Course Content
- use any automated method to access, copy, or harvest data
- use the Platform or Courses to build a competing product or repository
- distribute Course Content (including recordings, templates, or screenshots) to non-paying third parties
- bypass paywalls, authentication, or access controls
Any violation may result in immediate termination of access without refund and may subject you to civil liability.

6. Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Wovvo may suspend or terminate access if it reasonably believes your account is being shared, misused, or accessed fraudulently.

7. Payments, Pricing, and Taxes

Pricing is listed in United States Dollars (USD) unless otherwise stated. You authorize Wovvo (through its payment processor) to charge your payment method for the full purchase amount.
You are responsible for any applicable taxes, duties, exchange fees, or banking charges imposed by your payment provider or jurisdiction.

8. Refund Policy (Master Rule)

All purchases are final and non-refundable except where a specific written guarantee is explicitly offered under:
- Section 17 (Platform Money-Back Guarantee), and/or
- Section 18 (Twitter Course University 90-Day Guarantee).
No other refunds, credits, reversals, or exchanges are provided under any circumstances, including dissatisfaction, feature changes, technical issues, missed use, or changes to third-party availability.

8.1 Program-Specific Services Disclaimer (PBA / CBA Programs)

For clarity, the Creator Build + Autopilot (CBA) program, PBA, and any other done-for-you, execution-based, coaching, advisory, or managed service offerings provided by Wovvo (collectively, “Services Programs”) are service-based programs and are governed by separate written agreements, policies, or contracts presented at the time of purchase.

The refund policies and guarantees set forth in Section 18 (Wovvo Platform Money-Back Guarantee) and Section 19 (Twitter Course University 90-Day Guarantee) apply only to the specific products expressly covered by those sections and do not apply to Services Programs unless explicitly stated in a separate written guarantee policy applicable to that program.

Participation in any Services Program does not modify, expand, or override the refund limitations, risk disclosures, or no-guarantee provisions contained in the applicable Services Program agreement.

8.2 Creator Build + Autopilot (CBA)

For clarity and avoidance of doubt, the Creator Build + Autopilot (CBA) program is a service-based, execution-supported program governed by a separate written agreement presented at purchase.

Refund eligibility, if any, for the CBA program is governed exclusively by the written CBA agreement executed at the time of enrollment.

Except as expressly provided in that written CBA agreement, all CBA purchases are final and non-refundable.

Participation, progress, or completion of the CBA program does not entitle the participant to any refund based on outcomes, business results, credit card disputes, effort, or perceived value unless explicitly stated in the applicable CBA agreement.

Any attempt to dispute or reverse a CBA charge through a payment processor outside the agreed refund procedure may constitute a breach of the applicable program agreement.

9. No Guarantee of Results

Wovvo does not guarantee that any Member or Student will receive:
- work, brand deals, income, employment, or specific outcomes,
- responses to applications,
- acceptance by brands, or
- any specific level of performance.
Any examples, testimonials, or references to outcomes reflect individual experiences and are not guarantees.

10. Third-Party Content & Aggregation Disclaimer

Wovvo aggregates outbound hyperlinks to publicly available Opportunities hosted on Third-Party Platforms. Wovvo does not host, display, store, or cache third-party listing content, proprietary job information, employer contact databases, or third-party application workflows.
Wovvo is not affiliated with, endorsed by, or partnered with any Third-Party Platform unless explicitly stated in writing.
All trademarks and third-party intellectual property belong to their respective owners.
Users are prohibited from using the Platform to extract contact information or bypass third-party systems for commercial use. Any misuse constitutes a material breach of this Agreement.

11. Intellectual Property Rights

All Platform content and materials, including branding, structure, UI/UX, software logic, filters, code, layouts, written copy, and proprietary systems, are the exclusive property of Wovvo Inc. or its licensors.
All Course Content is proprietary intellectual property and protected by copyright and other laws. You receive a limited license to access and use for personal educational purposes only. No ownership is transferred.

12. User Submissions, Feedback, and Ideas

If you submit suggestions, feedback, feature requests, testimonials, or ideas, you grant Wovvo a perpetual, worldwide, royalty-free license to use, modify, and incorporate them without compensation.

13. Public Display of Member Information

By joining Wovvo, you grant Wovvo the right to publicly display non-sensitive information you provide (such as name, city/general location, and profile photo) for community recognition (e.g., Forever Founder pages) and marketing.
If you wish to opt out, contact team@wovvo.ai. Wovvo will make reasonable efforts to accommodate your request.

14. Social Media Resharing

Wovvo may reshare or feature public social content that references Wovvo (tags, mentions, hashtags, reviews) and may use your name/photo/likeness for promotional purposes when you participate in specific tiers or campaigns. Wovvo will not materially alter context in a misleading way.

15. Platform Availability, Downtime, and Maintenance

Wovvo may experience downtime due to maintenance, updates, third-party dependencies, hosting issues, or technical problems.
Wovvo may have downtime totaling up to forty-eight (48) hours within a calendar month without being considered a failure to deliver the Platform.
Temporary outages within this allowance do not trigger refund eligibility.

16. Force Majeure

Wovvo shall not be liable for delays, disruptions, outages, or performance failures caused by Force Majeure events, including global internet outages, infrastructure collapse, governmental restrictions, or extraordinary crises. In such events, Wovvo may extend downtime beyond the 48-hour allowance without triggering refund eligibility.

17. Platform Modifications and Termination

Wovvo may modify, suspend, or discontinue any aspect of the Platform or Courses at any time, including features, pricing, tiers, dashboards, filters, content libraries, and access structures.
Wovvo may suspend or terminate your access (without refund) if you:
- violate these Terms
- share access
- scrape/extract data
- misuse content
- engage in fraudulent chargebacks
- engage in abusive behavior toward the community or staff

18. 100% Money-Back Guarantee — Wovvo Platform (app.wovvo.ai)

Wovvo Inc. offers a limited 100% money-back guarantee based solely on the availability and visibility of UGC-related Opportunities through the Platform — not on income, hiring results, deal size, or job offers.
A Member may request a refund within the applicable guarantee period if the Member can reasonably demonstrate that:
- Wovvo did not provide access to a consistently high volume of UGC-related Opportunities visibly available through the Platform for Members to discover and review, and
- The Member actively used the Platform as intended, including regularly reviewing Opportunities displayed within the Wovvo dashboard and applying to those Opportunities directly on the applicable Third-Party Platforms where they are hosted.
Refund requests must be submitted in writing to team@wovvo.ai and must include sufficient detail for Wovvo to review access history, platform availability, and reasonable usage activity.
For clarity:
- Wovvo does not process applications.
- All applications occur on third-party sites.
- Downtime up to 48 hours per month does not qualify.
- Force Majeure events may extend downtime without triggering refund eligibility.
All refund decisions under this Section are reviewed in good faith but approved at the sole discretion of Wovvo Inc. This guarantee does not apply to misuse, inactivity, access sharing, Terms violations, or bad-faith claims.

Guarantee Eligibility & Communication Requirement

To remain eligible for any refund, money-back guarantee, or conditional guarantee offered by Wovvo, the user must maintain the ability to receive operational and transactional communications from Wovvo throughout the applicable guarantee period.

Unsubscribing from, blocking, or otherwise disabling receipt of Wovvo emails, notifications, or system communications may void guarantee eligibility, as Wovvo relies on delivery records, engagement logs, and sending attempts to verify access, activity, usage, and compliance with guarantee requirements.

Wovvo maintains internal records of email delivery, unsubscribe status, and sending attempts for verification and dispute resolution purposes.

19. Twitter Course University - 90-Day Inbound Guarantee (100% Money Back)

Twitter Course University includes a conditional 90-day inbound guarantee. If you follow the required steps and do not receive at least one (1) inbound inquiry from a brand, you may be eligible for a 100% refund of your course purchase price.

19.1 What This Guarantee Is (and Is Not)
This guarantee is limited to the presence of at least one inbound inquiry. It is not a guarantee that:
- the inbound will be paid,
- the inbound will convert to a deal,
- the brand will be reputable,
- the deal will meet your rate, or
- you will earn income.

19.2 Eligibility Requirements (Must Meet All)
To qualify, you must complete and maintain all of the following during the 90-day period:
- Complete the core curriculum and implement the instructions as taught (profile setup, positioning, content strategy, outreach boundaries if applicable, and portfolio presentation).
- Maintain an active Twitter/X presence consistent with the program’s posting guidelines.
- Apply the inbound system consistently, including the profile structure, pinned content, offer clarity, and brand-facing positioning.
- Avoid contradictory positioning that materially undermines the program (e.g., switching niches daily, conflicting offers, spam behavior, or practices the Course explicitly warns against).
- Remain in good standing (no harassment, spam, plagiarism, or policy violations in community spaces).
- Do not share Course Content or violate IP restrictions.

19.3 What Counts as an “Inbound”
An “Inbound” must be:
- a direct message or email initiated by a brand (or their legitimate representative), and
- reasonably related to UGC/collaboration interest.
Inbounds do not include:
- obvious spam, scams, fake accounts, bot solicitations, or unrelated outreach.

19.4 Refund Request Procedure
To request a refund under this Section, you must submit a written request to team@wovvo.ai within 7 days after the 90-day period ends, including:
- proof of purchase,
- proof you followed the Course steps (screenshots, links, timestamps),
- evidence of activity consistency (posting and profile state), and
- confirmation that no qualifying inbound occurred.
Wovvo may request additional reasonable verification to prevent fraud and protect Course IP.

19.5 Reasons a Claim May Be Denied
Wovvo may deny a claim if:
- required steps were not completed,
- activity was inconsistent or materially insufficient,
- you significantly deviated from instructions,
- you engaged in misuse/spam that could reasonably reduce inbound likelihood,
- you shared Course materials,
- you acted in bad faith or provided false information.

19.6 Course Access Upon Refund
If a refund is approved, your access to the Course Content and related private resources may be revoked.

19.7 Guarantee Eligibility & Communication Requirement

To remain eligible for any refund, money-back guarantee, or conditional guarantee offered by Wovvo, the user must maintain the ability to receive operational and transactional communications from Wovvo throughout the applicable guarantee period.

Unsubscribing from, blocking, or otherwise disabling receipt of Wovvo emails, notifications, or system communications may void guarantee eligibility, as Wovvo relies on delivery records, engagement logs, and sending attempts to verify access, activity, usage, and compliance with guarantee requirements.

Wovvo maintains internal records of email delivery, unsubscribe status, and sending attempts for verification and dispute resolution purposes.


20. Chargebacks and Payment Disputes

You agree not to initiate chargebacks without first contacting Wovvo at team@wovvo.ai for resolution. Fraudulent or bad-faith chargebacks may result in immediate termination and potential recovery actions.

21. Disclaimer of Warranties

The Platform and Courses are provided “as is” and “as available.” Wovvo disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

22. Limitation of Liability

To the maximum extent permitted by applicable law: - Wovvo shall not be liable for indirect, incidental, punitive, exemplary, or consequential damages, including lost profits or lost opportunities. - Wovvo’s total aggregate liability shall not exceed the amount paid by you for the specific product giving rise to the claim.

23. Indemnity

You agree to defend, indemnify, and hold harmless Wovvo Inc. and its owners, directors, employees, contractors, agents, partners, affiliates, licensors, and service providers from claims arising from your use, misuse, reliance, or violation of these Terms.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.

25. Amendments

Wovvo may update these Terms at any time. Continued use after changes constitutes acceptance of the updated Terms.

26. Severability

If any provision is deemed unenforceable, the remaining provisions remain in full force and effect.

27. Entire Agreement

These Terms constitute the entire agreement between you and Wovvo Inc. regarding use of the Platform and Courses and supersede all prior communications.

For Services Programs, the applicable program agreement shall control in the event of any inconsistency.

29. Event Participation, Networking Events, and In-Person Experiences

Wovvo Inc. (“Wovvo,” “we,” “us,” or “our”) may organize, host, sponsor, promote, or facilitate live events, networking events, creator meetups, educational experiences, conferences, dinners, activations, workshops, creator walks, after-parties, VIP gatherings, transportation experiences, and other in-person or virtual community activities (collectively, “Events”).

By registering for, attending, participating in, purchasing tickets for, or otherwise engaging with any Wovvo Event, you agree to the following terms and conditions.

1. Assumption of Risk

Participation in any Event is voluntary and at your own risk.

You acknowledge and agree that Events may involve:

  • large crowds,

  • public venues,

  • physical movement,

  • travel,

  • transportation,

  • interaction with third parties,

  • food and beverage consumption,

  • outdoor activities,

  • filming and photography,

  • and circumstances outside of Wovvo’s direct control.

You voluntarily assume all risks associated with participation in any Event, including but not limited to:

  • personal injury,

  • illness,

  • emotional distress,

  • theft,

  • property damage,

  • transportation incidents,

  • interactions with attendees,

  • venue-related incidents,

  • or other unforeseen circumstances.

2. Release of Liability

To the maximum extent permitted by applicable law, you release and hold harmless Wovvo Inc., its founders, employees, contractors, volunteers, affiliates, sponsors, partners, venues, speakers, and representatives from any and all claims, liabilities, damages, losses, costs, or expenses arising out of or related to:

  • your attendance at any Event,

  • participation in Event-related activities,

  • transportation to or from Events,

  • interactions with attendees or third parties,

  • food or beverage consumption,

  • venue conditions,

  • Event modifications or cancellations,

  • or any other Event-related matter.

This release applies to all Wovvo Events, including but not limited to:

  • Creators Collab Vancouver,

  • creator networking events,

  • educational workshops,

  • creator walks,

  • VIP dinners,

  • after-parties,

  • community meetups,

  • and future live experiences.

3. No Guarantees

Wovvo does not guarantee:

  • business opportunities,

  • brand deals,

  • partnerships,

  • employment,

  • sponsorships,

  • networking outcomes,

  • audience growth,

  • financial results,

  • or any specific outcome from attending an Event.

Any examples, testimonials, creator success stories, or speaker presentations are provided for informational and educational purposes only and do not guarantee future results.

4. Ticketing, Refunds, and Transfers

Unless otherwise stated in writing:

  • all Event ticket purchases are final,

  • tickets are non-refundable,

  • and no chargebacks or payment reversals are permitted.

Wovvo reserves the right to:

  • modify Event schedules,

  • change speakers,

  • change venues,

  • adjust programming,

  • postpone Events,

  • or cancel Events at its sole discretion.

Tickets may only be transferred if expressly permitted by Wovvo.

5. Event Code of Conduct

All attendees must behave professionally, respectfully, and lawfully during all Events.

Wovvo reserves the right to remove any attendee without refund for:

  • harassment,

  • disruptive behavior,

  • intoxication,

  • illegal activity,

  • threatening conduct,

  • unauthorized solicitation,

  • inappropriate conduct,

  • policy violations,

  • or behavior deemed unsafe or harmful to the Event experience.

6. Alcohol and Controlled Substances

Outside alcohol, illegal substances, or unlawful conduct may be strictly prohibited at certain Events or venues.

Any attendee found violating venue policies, applicable laws, or Event conduct standards may be removed immediately without refund and may be reported to venue security or law enforcement where appropriate.

7. Photography, Video, and Media Release

By attending any Wovvo Event, you acknowledge and agree that photography, video recording, livestreaming, and audio recording may occur.

You grant Wovvo a perpetual, worldwide, royalty-free license to use your likeness, voice, image, appearance, and participation in Event-related media for:

  • marketing,

  • promotional content,

  • social media,

  • advertisements,

  • press coverage,

  • recap videos,

  • educational materials,

  • and commercial purposes.

No compensation is owed for such usage.

If you do not wish to appear in media coverage, you must notify Wovvo staff prior to or during the Event. Wovvo will make reasonable efforts to accommodate requests but cannot guarantee exclusion from all recordings or photography.

8. Transportation and Third-Party Venues

Certain Events may involve:

  • transportation,

  • third-party venues,

  • restaurants,

  • nightlife venues,

  • rideshare services,

  • limousine services,

  • hotels,

  • or partner-operated experiences.

Wovvo is not responsible for:

  • third-party conduct,

  • transportation incidents,

  • venue operations,

  • lost property,

  • injuries,

  • delays,

  • cancellations,

  • or disputes arising from third-party services.

Participation in such activities is voluntary and at your own risk.

9. Event Modifications and Force Majeure

Wovvo reserves the right to modify, postpone, reschedule, shorten, relocate, or cancel any Event due to circumstances beyond its reasonable control, including but not limited to:

  • venue issues,

  • safety concerns,

  • weather,

  • travel disruptions,

  • government restrictions,

  • illness,

  • technical failures,

  • speaker cancellations,

  • or force majeure events.

Wovvo shall not be liable for any resulting costs, damages, travel expenses, accommodations, or losses incurred by attendees.

10. Governing Law

All Event-related matters shall be governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.

Any disputes relating to Events shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.
